General Terms and Conditions

FIRE-UP ROCHDALE TERMS AND CONDITIONS MEETING ROOM HIRE; DESK BOOKING; LOUNGE PASS In these terms and conditions the following terms shall have the following meanings:

“you” and “your” the company or individual making the Booking
“we” or “us” or “our” Fire-Up Co-Working Space operated by The Growth Company Limited, Lee House, Great Bridgwater Street, Manchester, M1 5JW and a reference to a party shall be to one or both of the above as applicable Booking The reservation of a Desk(s) and/or Room(s) for a specified period via the Website

Booking Receipt Confirmation of your Booking via e-mail to the e-mail address provided by you following submission of your Booking.

Centre Fire-Up Co-Working Space situated at First Floor, The Old Fire Station, Maclure Road, Rochdale OL11 1DN Charges The sum paid by you to us for the Booking Customers Other users of the Centre Desk(s) an individual hot desk with computer screen and keyboard, Individual Booth and a Private Office Pod within the Centre and available for Booking Equipment Any or all of the following: desks, chairs, tables, computer screens, keyboards, mice, flip charts, crockery and any other equipment provided by us for use by Customers. Lounge Pass A daily or monthly pass allowing you access at any time during Opening Hours to the unreserved team desks and seating area within the Shared Space. Meeting Room(s) Discrete furnished office space allocated for use as a meeting room(s) and/or a day office within the Centre and available for Booking up to the maximum occupancy of each room. Opening Hours From 8am to 6pm Monday to Friday inclusive, excluding public holidays. Last entry to the space is 4.45. Centre will close promptly at 6.pm. Reserved Space The Meeting Room(s) and/or Desk(s) the subject of the Booking Shared Space The lounge areas within the Centre together with ancillary facilities comprising toilets, shower, kitchen areas and any other shared facilities at the Centre that may be provided for use by all Customers Terms and Conditions These terms and conditions which shall apply to your use of the Centre Website https://www.fireuprochdale.co.uk/ Agreed terms Bookings procedure A Booking should be made via our Website or the FireUp App. Charges must be paid in full when submitting your Booking. A Booking Receipt will then be sent to you with details of the Booking. Alternatively, you may enquire at our reception area at the Centre and, if a Reserved Space is available, you may make a Booking there. By making the Booking you agree to be bound by these terms and conditions. These are supplemented by our House Rules which are included within these Terms and Conditions as Appendix One. Cancelling and changing your Booking If you need to cancel your Booking this must be done via the Website using the procedure detailed.

Booking and Cancellations Fees: If you cancel your booking then the following fees will apply: • 1 week’s notice – No cancellation Fee • 48 hours' notice – 50% • Less than 48 hours’ notice – 100% All refunds will be paid to you within 14 days of cancellation. Refunds can only be repaid to the account from which Charges were taken. Any requests by you to amend your Booking should be made not less than 24 hours prior to commencement of that Booking by contacting the Centre directly via e-mail and cannot be guaranteed. Additional Charges may apply. Restrictions may apply and no more than one amendment will be accepted for each Booking. You will not be entitled to a refund of Charges in any event where the request to amend a Booking has come from you. In the event that we have to alter your Booking due to being unable to accommodate you in the Reserved Space we will use all reasonable endeavours to offer you a similar alternative within the Centre. If you are not satisfied with the alternative accommodation offered, you will be entitled to a full refund of Charges If the use of any Shared Space is affected due to circumstances beyond our control this shall not entitle you to a refund of Charges. We will make every effort to reinstate any Shared Space as soon as reasonably possible. Guests may only be brought into the Centre if you have booked a Meeting Room. Bookings are only valid for the time booked and access and use of the facilities at the Centre are restricted to use within these times. The number of guests permitted shall not exceed the number of persons specified for the relevant space (including you and your employees). Arrival and Departure On arrival you will check in at the reception desk located on the first floor, where you will be provided with your access pass if applicable.
At the expiry of the Booking you must check out and return the access pass to the reception desk or as otherwise directed. Failure to do so will incur a fee and our refusal of any further Bookings from you, at our absolute discretion. You must ensure that any guests attending a meeting in the Meeting Room check in and out at the reception desk each time they enter or leave the Centre. Use of the Centre You will behave in a responsible, safe and business-like manner and keep noise at a level to avoid disruption to any other Customers.
You will maintain any Shared Space, Reserved Space or Equipment in its existing condition and notify us immediately of any damage. Any damage caused by you or any of your guests shall be your responsibility and you will be responsible for any repair and/or replacement costs we incur as a result. When using the Centre you will not: • fix any bolts, nails, tacks, screws, adhesives, tape or other such fixing devices to the walls or fabric of the Centre; • display any offensive signs or material; • leave open any corridor doors or exit doors. Corridors, halls, lifts or stairwells shall not be obstructed or used for any purpose other than accessing or exiting the Centre; • carry out any activity that is dangerous, illegal, offensive or immoral; and • cause any nuisance annoyance or inconvenience to other Customers. At the end of a Booking or when vacating the Centre you must remove all items belonging to you. Any possessions left at the Centre, may be disposed of by us without notice and we shall have no obligation to account to you for any costs. You are not permitted to use the address of the Centre as your contact or registered address for any purpose We reserve the right to remove you from the Centre for failure to comply with the terms of use detailed above and to cancel any future Bookings. You will not be entitled to a refund of any Charges.
Supplementary Facilities The power supply will be for the powering of personal computers and other small devices only. You must not alter, move or interfere with any lighting, heating, power, cabling or other electrical fittings or appliances or install or use additional heating, power, cabling or other electronic fittings at the Centre. You are entitled to access the free shared internet connection at the Centre subject to your fair and responsible use and to any other regulations for use notified at the Centre. We cannot guarantee uninterrupted access to the internet at the Centre and shall not be liable for any disruption. Any additional facilities we make available at the Centre will be subject to such fees and rules of use as are notified from time to time. The Car park at the rear of the centre is for the sole use of the Fire Museum and you must not park here. Any parking there or in the surrounding area will be entirely at your risk.
Data Each party shall, at its own expense, ensure that it complies with and assists the other party to comply with the requirements of all applicable data protection and privacy legislation in force from time to time in the UK including the Data Protection Act 2018 (and regulations made thereunder), the retained EU law version of General Data Protection Regulation ((EU) 2016/679), the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426). AND/OR You agree that we may process, disclose or transfer any personal data that We hold on or in relation to You provided that We take such reasonable steps to ensure that it is used only to full Our obligation under this Agreement, for work assessment and fraud prevention or to make available information which We reasonably consider may be of interest to You. Limitation of Liability and Disclaimer The restrictions on liability detailed here shall apply to every liability arising in connection with this Contract Nothing in the Contract limits any liability which cannot legally be limited, including liability for: (a) death or personal injury caused by negligence; and (b) fraud or fraudulent misrepresentation. Subject to the above, we will not be liable for: (a) the death of, or injury to you or your guests, employees or consultants; or (b) damage or theft of any property of you or your guests or employees or consultants at the Centre 1.2 Our total liability to you shall not exceed £100,000. 1.3 We cannot accept liability for any of the following types of loss. (a) loss of profits (b) loss of sales or business; (c) loss of agreements or contracts; (d) loss of anticipated savings; (e) loss of use or corruption of software, data or information; (f) loss of or damage to goodwill; and (g) indirect or consequential loss. 1.4 Unless you notify us that you intend to make a claim in connection with this Contract within 3 months of the relevant incident giving rise to the claim, we will have no liability for that claim. The notice must be in writing and must identify the grounds for the claim in reasonable detail.

Governing Law and Jurisdiction This Contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by, and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Contract or its subject matter or formation. Third party rights This Contract does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract.

APPENDIX 1. HOUSE RULES │ Fire Up Co-working space

These are our House Rules which may change from time to time.

• All members, visitors and guests must check in at reception upon arrival and check out when leaving.

• You will not use business lounge for meetings or visitor/guest use. Day offices or meeting rooms should be used to accommodate these needs.

• No animals are permitted with the centre, except assistance animals.

• Where unlimited services (e.g. Refreshments, printing, scanning etc.) are included within a service package these are subject to a fair usage as defined by The Provider. The Provider reserves the right to limit or withdraw the customers use without notice if they feel the customer is in breach of fair usage

• It is your responsibility to keep the information and key contact details we use to communicate with you up to date through the app or online account. This includes but is not limited to email addresses, phone numbers and company address

• We are operating a ‘clean as you go’ policy within the centre. After using these areas, please ensure they are left clean, tidy and ready for the next user with any personal items removed.

• The kitchen is a communal area for everybody to use. We are operating a ‘clean as you go’ policy, please leave the kitchen as you would expect to find it. The dishwasher is available to use for your dirty crockery. If the dishwasher is working or needs clean crockery emptying, please alert a member of the Fire Up team and wash your pots by hand. Any perishable items found to be Out of Date will be disposed of upon discovery. All perishable items will be disposed of at the end of each week, unless unopened and within date.

• The Fireground Museum car park, to the rear of the building, is not to be used by any customers or visitors to Fire Up Co-working, unless holding a valid Blue Badge. In which case the disabled parking spaces are available for use subject to availability. Please ensure the Blue Badge clearly visible within the vehicle. Details of nearby parking provisions are available from Reception.

• The bicycle hanger is available to store your bicycle when using Fire Up. Keys are available from Reception. A returnable deposit of £25 is required to obtain a key for use. It is the responsibility for every user to ensure the hanger is left secured at all times. Fire Up will not accept liability for any loss or damage to any bicycles or cycling equipment placed in the hanger.

• You are operating in a shared working space, and we respectfully ask you to please be mindful of your surroundings and that sound may carry through other sections of the workspace. If you are taking a call or hosting a zoom meeting, please ensure headsets are worn and that you have booked an appropriate space to conduct this.

• A safe return to the coworking space involves more than the workspace providing members with the health standards required. It also involves members partaking in keeping the coworking environment safe in what has become the future of co-working.

• With the COVID-19 pandemic still among us, returning to shared workspace is something that requires embracing more than just the basic etiquette rules. While keeping the noise level down and cleaning up after yourself when using a common area are some things that fit into common sense behaviour in the office space, we ask members to all incorporate safe practices within the workspace including sanitizing of hands.

• The fire alarm test that takes place every Friday at 9:00am, there is no need to evacuate. In the event of a fire, please assemble at the meeting point located at the far end of the Fireground Museum carpark, to the rear of the building.
